This document covers important information regarding your Customer Data, payment obligations, and limitations of liability. If you do not agree to these terms, please do not access or use our Services.

Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Secure Hospitality Solutions website, platform, software, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

1. Eligibility and Account Responsibility

You must be at least 18 years old to use the Services. By using the Services, you represent that you have the legal authority to enter into this agreement on behalf of yourself or your organization.

You are responsible for:
  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your account
  • Ensuring information you provide is accurate and current

Secure Hospitality Solutions is not responsible for unauthorized access resulting from your failure to safeguard account credentials.

2. Use of Services

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations.
You may not:
  • Use the Services for unlawful, fraudulent, or abusive purposes
  • Interfere with or disrupt the integrity or performance of the Services
  • Attempt to gain unauthorized access to systems or data
  • Upload malicious code, viruses, or harmful content

We reserve the right to suspend or terminate access if misuse or violations occur.

3. Customer Data and Data Processing

If you upload customer or contact data into the platform, you retain ownership of that data. Secure Hospitality Solutions acts solely as a data processor on your behalf.

You represent and warrant that:
  • You have the legal right to collect and upload such data
  • Your use complies with applicable privacy and data protection laws

Data is processed in accordance with our Data Privacy Policy and applicable Data Processing Addendum (DPA), available upon request.

4. Intellectual Property

All software, content, trademarks, logos, and materials provided through the Services are the exclusive property of Secure Hospitality Solutions or its licensors.

You are granted a limited, non-exclusive, non-transferable right to use the Services during your subscription term. No ownership rights are transferred.

You may not copy, modify, distribute, reverse engineer, or resell any portion of the Services without prior written consent.

5. Fees and Payments

Certain Services may require payment. By subscribing or purchasing:
  • You agree to pay all applicable fees
  • Fees are non-refundable unless expressly stated otherwise
  • We may update pricing with reasonable notice

Failure to pay may result in suspension or termination of Services.

6. Third-Party Services

Other U.S. State Privacy Laws
The Services may integrate with or rely on third-party platforms (e.g., hosting, analytics, email services). Secure Hospitality Solutions is not responsible for third-party services, content, or availability.

Your use of third-party services is subject to their respective terms and policies.

7. Security and Availability

We implement reasonable administrative, technical, and physical safeguards to protect data. However, no system is completely secure.
We do not guarantee uninterrupted or error-free operation and are not liable for:
  • Downtime
  • Data loss beyond reasonable control
  • Internet or infrastructure failures

8. Termination

You may terminate your account at any time by providing written notice.

We may suspend or terminate access if:
  • These Terms are violated
  • Required payments are overdue
  • Continued use poses legal, security, or operational risk
Upon termination, access to the Services will end, and data retention will follow our Privacy Policy.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECURE HOSPITALITY SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:
  • SECURE HOSPITALITY SOLUTIONS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES
  • TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM

11. Indemnification

You agree to indemnify and hold harmless Secure Hospitality Solutions from claims, damages, losses, and expenses arising from:
  • Your misuse of the Services
  • Data you upload
  • Violation of these Terms or applicable laws

12. Privacy

Your use of the Services is governed by our Data Privacy Policy, which explains how we collect, use, and protect information.

13. Changes to Terms

We may update these Terms periodically. Material changes will be posted on our website and may be communicated via email.
Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States and the state in which Secure Hospitality Solutions is headquartered, without regard to conflict of law principles.
